Terms of Service

1. Agreement to Terms
By accessing or using Promoza services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
Promoza is operated by Promoza, Inc. ("Promoza," "we," "us," or "our"), a Delaware corporation. These Terms constitute a legally binding agreement between you and Promoza.
2. Service Description
Promoza provides AI-powered marketing and lead generation services for home service businesses. Our Service includes:
- campaign24/7 creation, management, and optimization of ad campaigns to attract potential customers in your service area
- tuneMarketing funnel optimization including landing pages and targeting
- phone_in_talkPhone lead tracking so you know which campaigns are bringing in customers
- smart_toyAI-powered qualification of leads to filter out spam and unqualified inquiries
- callDelivery of exclusive, qualified leads directly to your phone
- summarizeWeekly performance summaries and reporting
3. Advertising Account Ownership
DEFAULT: Unless explicitly stated otherwise in a written agreement, all Google Ads accounts, campaigns, ad groups, keywords, ad copy, landing pages, and related advertising assets created by Promoza are and remain the sole property of Promoza, Inc.
Under the default arrangement, you acknowledge and agree that:
- account_balancePromoza owns all advertising accounts used to generate your leads
- blockYou have no ownership rights or direct access to these advertising accounts
- copyrightAll campaign data, creative assets, and optimization strategies are Promoza's intellectual property
- sync_disabledUpon termination of service, advertising accounts and assets are not transferable to you
This ownership structure allows us to maintain quality control and protect our proprietary optimization methods.
Client-Owned Accounts: In specific cases, Promoza may agree in writing to manage advertising accounts that belong to you (the business). If your written agreement with Promoza explicitly states that you retain ownership of the advertising account, then the account and its associated data remain your property. All other terms of these Terms of Service still apply. In the absence of such a written agreement, the default ownership terms above govern.
4. Subscription Plan and Pricing
Promoza's pricing consists of two separate components:
- paymentsPlatform Fee — $500 per month: Covers all services described in Section 2, including campaign management, funnel optimization, phone lead tracking, AI qualification, and reporting
- ads_clickAd Credit: A separate amount loaded in advance to your account and used exclusively for advertising spend (e.g., Google Ads). Promoza will suggest an ad credit amount based on your market, service area, and goals. Ad credit is only used for ad spend and is not part of the platform fee
- event_available7-Day Free Trial: New subscribers receive a 7-day free trial of the platform fee before billing begins (see Section 5)
All prices are in US dollars. The platform fee and ad credit are billed separately. Prices are subject to change with 30 days' notice.
Custom Pricing: Promoza may offer custom platform fee and ad credit amounts on a per-client basis, agreed upon in writing. If you have a custom pricing arrangement, the specific terms of that agreement take precedence over the standard pricing listed above. All other terms of these Terms of Service still apply.
5. 7-Day Free Trial
FREE TRIAL: New subscribers receive 7 days of full service with no platform fee. Your first platform fee payment of $500 is charged on day 8 unless you cancel before then. Ad credit, if applicable, is billed separately.
Terms of the 7-day free trial:

- credit_cardA valid payment method is required to start the free trial
- autorenewUnless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged $500 for the first month's platform fee
- cancelYou may cancel at any time during the trial period at no cost by emailing support@promoza.com
- verifiedDuring the trial, you receive full access to all services described in Section 2, including campaign management, funnel optimization, and lead tracking
- repeat_oneThe free trial is available once per business. Promoza reserves the right to deny a trial if we determine it is being used in bad faith
6. Lead Quality and Definitions
Qualified Lead Definition: A qualified lead meets all of the following criteria:
- checkThe inquiry is from a real person (not spam, bots, or automated calls)
- checkThe person has a genuine home service need
- checkThe service location is within your defined service area
- checkThe person expresses readiness to schedule or discuss service
Exclusivity: All leads delivered to you are exclusive. We do not share, sell, or distribute the same lead to multiple service businesses.
No Guarantee of Conversion: While we qualify leads before delivery, we do not guarantee that every lead will result in a booked job. Conversion rates depend on many factors including your responsiveness, pricing, and service quality.
7. Payment Terms
By subscribing to Promoza, you agree to the following payment terms:
- credit_cardPlatform Fee: $500 is due at the beginning of each billing cycle and automatically renews unless cancelled before the next billing date
- ads_clickAd Credit: Loaded in advance to your account based on the amount suggested by Promoza and agreed upon by you. Ad credit is used exclusively for advertising spend and is separate from the platform fee
- savingsAd Credit Usage: Promoza manages the allocation of your ad credit across campaigns at its discretion to maximize results. Unused ad credit remains in your account for future use
- money_offFailed payments for either the platform fee or ad credit may result in service suspension until payment is received
- receiptAll platform fees are non-refundable once charged. The 7-day free trial (Section 5) allows you to evaluate the Service before any platform fee is processed
8. Cancellation Policy
You may cancel your subscription at any time:
- event_availableNo Long-Term Contracts: All subscriptions are month-to-month with no cancellation fees
- scheduleCancellation takes effect at the end of your current billing period
- mailTo cancel, email support@promoza.com at least 3 days before your next billing date
- do_not_disturbNo prorated refunds are provided for partial months
Upon cancellation, your advertising campaigns will be paused and you will no longer receive new leads after your current billing period ends.
9. Refund Policy
Promoza does not offer refunds on platform fees. The 7-day free trial (Section 5) is provided so you can evaluate the Service before any platform fee is charged.

- cancelWe do not provide refunds based on lead volume, conversion rates, or satisfaction with individual leads
- ads_clickAd Credit: Unused ad credit that has not yet been spent on advertising may be refundable upon account cancellation, at Promoza's discretion. Ad credit that has already been spent on advertising is non-refundable
In exceptional circumstances, refunds may be considered at Promoza's sole discretion. Contact support@promoza.com to discuss your situation.
10. Your Responsibilities
To receive the full benefit of our Service, you agree to:

- scheduleMaintain Availability: Be available during the business hours you specified during onboarding
- location_onAccurate Service Area: Provide and maintain accurate service area information
- verified_userProper Licensing: Maintain all required business licenses and insurance for your jurisdiction
- handshakeProfessional Conduct: Treat leads professionally and provide quality service
- updateKeep Information Current: Notify us of any changes to your contact information or service area
11. Acceptable Use
You agree NOT to:
- cancelShare, resell, or distribute leads to third parties
- cancelUse the Service for any illegal or fraudulent purpose
- cancelAttempt to access Promoza's advertising accounts or systems
- cancelMisrepresent your business, qualifications, or services to leads
- cancelEngage in any activity that could damage Promoza's reputation or advertising accounts
12. Service Limitations
You acknowledge and agree that:
- trending_flatLead volume may vary based on market conditions, seasonality, and competition
- constructionService may be temporarily unavailable for maintenance or technical issues
- smart_toyOur AI qualification system, while highly accurate, may occasionally pass through unqualified inquiries or filter qualified ones
- warningChanges to Google Ads policies or platform functionality may affect service delivery
13. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
To the maximum extent permitted by law:
- gavelPromoza's total liability shall not exceed the fees paid by you in the 3 months preceding the claim
- blockWe are not liable for indirect, incidental, special, consequential, or punitive damages
- money_offWe are not liable for lost profits, lost revenue, or lost business opportunities
- group_offWe are not responsible for the conduct of leads or their ultimate decision to hire you
14. Indemnification
You agree to indemnify, defend, and hold harmless Promoza, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

- chevron_rightYour violation of these Terms
- chevron_rightYour services or interactions with leads
- chevron_rightAny claims from customers or third parties related to your business
15. Termination
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- warningYou breach these Terms
- money_offYou fail to pay subscription fees when due
- reportWe receive complaints about your service quality or conduct
- gavelRequired by law or to protect our rights
Upon termination, you will immediately lose access to the Service and will no longer receive leads. No refunds will be provided for termination due to breach of Terms.
16. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, AI systems, advertising strategies, branding, and proprietary methods, are owned by Promoza. You may not copy, modify, distribute, or create derivative works without our express written consent.
17. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through our Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
18. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration taking place in Delaware.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Promoza regarding the Service and supersede all prior agreements and understandings.
